The obstacle
The trademark could not move independently of its live licence.
A corporate restructuring required the exclusive trademark right to be transferred to another company within the group.
Because the mark was already licensed, the transaction also required replacement of the licensor and changes to the royalty procedure and financial terms.
The registry position, contract chain and commercial payment terms had to change together.

We prepared the trademark assignment deed for the new holder within the client’s group.
Update the commercial terms
We drafted an additional agreement replacing the licensor and revising the procedure and timing for royalty payments.
Register the complete change
We handled the Rospatent recordals so the trademark register and the licence structure reflected the transaction as intended.

The restructuring worked in the contracts and in the register.
